These Terms of Use (the “Terms”) constitute a legally binding agreement between you (the “User”) and SuccessionConcierge.com, a business operating under the laws of the Province of Québec (the “Company”), governing your access to and use of the Succession Concierge platform, including all associated content, tools, workflows, software, and services (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1. Nature and Purpose of the Platform

The Platform is an informational and workflow management tool designed to assist individuals acting, or intending to act, as liquidator (executor) of a succession under the Civil Code of Québec. The Platform organizes general procedural information, provides structured guidance regarding the typical phases of estate administration, and allows Users to track and manage administrative tasks.

The Platform does not provide legal, notarial, accounting, tax, financial, or fiduciary advice. The Company does not act as liquidator, trustee, attorney, accountant, notary, or legal representative. The Platform is not a substitute for professional consultation and must not be relied upon as such.

2. No Professional or Fiduciary Relationship

Use of the Platform does not create any professional or fiduciary relationship between the User and the Company. In particular, no lawyer-client, notary-client, accountant-client, advisory, mandate, or representation relationship is formed by virtue of using the Platform.

The Company does not assume any duty of care or fiduciary obligation in connection with any estate. All decisions and actions relating to the administration of a succession remain the sole responsibility of the User.

3. No Legal, Tax, or Accounting Advice

The information and tools provided through the Platform are general in nature and are not tailored to the specific circumstances of any estate. Estate administration in Québec is governed by complex legal and tax frameworks, including the Civil Code of Québec and applicable federal and provincial tax legislation.

Nothing contained on the Platform constitutes legal advice, tax advice, accounting advice, or any other professional advisory service. The User acknowledges that estate administration may expose a liquidator to personal liability and that professional advice may be required in circumstances involving, without limitation, business interests, cross-border assets, potential insolvency, minor or incapable beneficiaries, disputes among heirs, or complex tax considerations.

The User is solely responsible for determining when professional advice is necessary and for obtaining such advice at their own discretion.

4. Algorithmic Assessments and Risk Indicators

The Platform may provide complexity assessments, risk indicators, or other analytical outputs based on information supplied by the User. Such assessments are algorithmic and informational only. They do not constitute legal opinions, tax opinions, or professional determinations, and they are dependent upon the completeness and accuracy of the information entered by the User.

The Company makes no representation or warranty as to the accuracy, completeness, or suitability of any such assessment.

5. User Responsibilities

The User acknowledges that they are solely responsible for the administration of the estate and for compliance with all applicable laws. The User agrees to provide accurate and complete information when using the Platform and to exercise independent judgment in all matters relating to the succession.

The User further acknowledges that reliance on generalized guidance without appropriate professional consultation may result in legal, financial, or tax consequences, for which the Company bears no responsibility.

6. Limitation of Liability

To the fullest extent permitted by applicable law, the Company, its directors, officers, employees, contractors, affiliates, and agents shall not be liable for any loss, damage, cost, claim, penalty, assessment, interest, or expense arising out of or relating to the User's use of the Platform or the administration of any estate.

This limitation includes, without limitation, any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to tax reassessments, penalties, interest charges, litigation costs, or claims brought by beneficiaries, creditors, or governmental authorities.

Nothing in these Terms excludes liability that cannot be excluded under the laws of Québec, including mandatory consumer protection provisions where applicable.

7. No Warranty

The Platform is provided on an “as is” and “as available” basis. The Company makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, availability, or suitability of the Platform or its content.

The Company does not warrant that the Platform will be uninterrupted, error-free, secure, or free of inaccuracies, nor does it guarantee that the information reflects the most current legislative or regulatory developments.

8. Indemnification

The User agrees to indemnify and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising from the User's use of the Platform, administration of any estate, or breach of these Terms.

9. Privacy and Data

Use of the Platform is subject to the Company's Privacy Policy. The User acknowledges that estate-related information may contain sensitive personal data and agrees to use the Platform in compliance with applicable privacy laws, including Québec privacy legislation.

The Company does not verify the legality or accuracy of data entered by the User.

10. Intellectual Property

All content, structure, algorithms, workflows, scoring models, text, graphics, and software associated with the Platform are the exclusive property of the Company and are protected by applicable intellectual property laws.

No portion of the Platform may be copied, reproduced, modified, distributed, or reverse engineered without prior written consent of the Company.

11. Suspension and Termination

The Company may suspend or terminate access to the Platform if the User breaches these Terms or misuses the Platform. Termination does not relieve the User of obligations arising prior to termination.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Québec and the applicable laws of Canada. Any dispute arising out of or relating to these Terms or the Platform shall be submitted to the courts of Québec.

13. Amendments

The Company may amend these Terms from time to time. Continued use of the Platform following publication of amended Terms constitutes acceptance of those amendments.
